Legal Counsel
& Arbitration

Anticipate rather than repair: audits, contract drafting, written opinions, mediation and arbitration.

The best lawsuit is the one that never happens

Most clients first meet a lawyer on the day the dispute breaks out. That is when the lawyer's intervention is most costly and least effective: positions have been taken, clumsy letters have been sent, and evidence is missing.

Preventive advice reverses this. A few hours spent on a clause before signing are often worth several years of litigation avoided. It is the least visible part of a lawyer's work — and probably the most valuable for the client.

Drafting and securing contracts

A contract's purpose is not to describe what will go well, but to organize what will happen when things go wrong. That is the angle from which the office drafts and reviews.

  • Commercial contracts — distribution, franchise, agency, supply, subcontracting, partnership, services.
  • General terms of sale and purchase — enforceability, penalty clause, retention of title, limitation of liability.
  • Corporate documents — tailored articles of association, shareholders' agreements, current account agreements, transfer protocols.
  • Employment contracts and internal regulations — non-compete, confidentiality and mobility clauses.
  • Real estate documents — promises of sale, commercial and professional leases.
  • Confidentiality agreements, settlement agreements and acknowledgments of debt.

The five clauses that decide the outcome of a dispute

The dispute resolution clause (competent court, mediation, arbitration), the penaltyclause, the limitation of liabilityclause, the conditions for early termination and the force majeureclause. In standard contracts downloaded online, these five clauses are almost always either missing or unsuited to Moroccan law.

Legal audit

A comprehensive review of a company's legal position, designed to identify risks before they materialize:

  • Compliance of the articles of association and regularity of corporate life
  • Review of the contract portfolio and current commitments
  • Employment compliance — employment contracts, CNSS declarations, internal regulations
  • Personal data protection (Law No. 09.08 and CNDP obligations)
  • Title deeds, leases and security interests granted
  • Mapping of latent disputes and provisions to be made

Written legal opinion

On a specific question, the office issues a reasoned written opinion: statement of facts, applicable texts, state of case law, risk analysis and an operational recommendation. This document is doubly useful: it lets you decide with full knowledge, and it is a serious exhibit should the question later be disputed.

Mediation and amicable methods

Moroccan law encourages alternative dispute resolution. Contractual mediation allows the parties, with the help of a third party, to build a solution themselves. It has three decisive advantages over litigation: speed, confidentiality and preservation of the business relationship.

An agreement reached through mediation can be approved by the court, giving it enforceable status — it then has the force of a judgment.

Arbitration

Arbitration entrusts the settlement of a dispute to one or more arbitrators chosen by the parties, whose award has res judicata effect. It is particularly suited to commercial disputes involving significant amounts and to international relationships.

  • Drafting the arbitration clause — inserted in the contract, it sets in advance how arbitrators are appointed, the seat, the language and the applicable rules.
  • Submission agreement — concluded after the dispute has arisen.
  • Representation before the arbitral tribunal — briefs, hearings, oral argument.
  • Exequatur — obtaining enforceability of the award.
  • Action for annulment — challenging an irregular award.

Arbitration: for significant stakes

Arbitration is faster and confidential, but its cost — arbitrators' fees, institutional costs — makes it disproportionate for small disputes. Inserting an arbitration clause in a low-value contract may, in practice, deprive the weaker party of any effective remedy. The choice deserves discussion case by case.

Ongoing support for businesses

For companies without an in-house legal department, the office offers ongoing support: regular legal reviews, contract review as needed, answers to day-to-day questions, and monitoring of legislative developments relevant to the sector. Terms and volume are defined together and set out in an annual agreement.

Frequently asked questions

Counsel & Arbitration

Rarely. These templates are usually drafted under foreign law — generally French — and refer to texts that do not exist in Moroccan law. They also ignore the specifics of your transaction. They can be a starting point, but a review adapted to the applicable law and your situation remains essential.
The mediator has no decision-making power : they help the parties reach an agreement themselves, which the parties remain free to refuse. The arbitrator, on the other hand, decides : the award binds the parties like a judgment. Mediation is less costly but requires a shared willingness to reach agreement; arbitration guarantees an outcome, but at a higher cost.
Yes, onceexequatur has been obtained from the competent court, which checks the formal regularity of the award without retrying the merits. An award with exequatur then allows all enforcement measures — bank, movable or real estate seizures.
A summary of the facts as you presented them, the applicable texts, an overview of Moroccan case law, an analysis of risks and chances, then a clear operational recommendation. The document is dated, reasoned and signed — you can rely on it with your partners, your bank or your co-shareholders.

Anticipating costs less
than repairing

A contract to sign, a transaction to structure, a legal question to settle: a consultation secures your decision before it becomes irreversible.
